1. The Israel Ports Development & Assets Company, Ltd. ("IPC"), in accordance with the agreement on government procurement (GPA) and with the tender laws of the state of Israel, requests priced offers for the furnishing of Treatment Services (the "Services") in the event of oil pollution occurrences in the waters of either or both the Port of Haifa or the Port of Ashdod, as will be requested from time-to-time, as set out in the Tender Documents and in the contract (the Contract"):
1.1 Tender No. 21/11- Treatment Services for Oil Pollution Occurrences in the Waters of the
Port of Haifa.
1.2 Tender No. 22/11- Treatment Services for Oil Pollution Occurrences in the Waters of the
Port of Ashdod
to be entered into between the IPC and the contractor who has been awarded the Contract (the "Contractor") and which will be furnishing the Services.
2. Participation in each Tender is conditioned upon the following prerequisites:
2.1 The Tenderer must have proven experience in the treatment of occurrences of water pollution by oil in at least two different events (as detailed in the Tender Documents).
2.2 The Tenderer must present documentation of a contractual relationship with the operator of a site for the treatment of any oil which will be removed from the sea in the event of pollution. The site must be authorized by Israel's Ministry of Environment Protection for treating oil pollution. The contractual relationship with the authorized site can be a conditional contract conditioned on the Tenderer being awarded the Services and which will enter into force upon the signing of a contract with the IPC (the "Contract") by the Contractor awarded the Services.
2.3 The Tenderer must employ at least 5 experienced professionals for the carrying out of the required Services and for maintaining and operating the equipment for treating oil pollution at all stages, with the personnel having the required professional maritime certification, all as set out in the Tender Documents.
2.4 The Tenderer or the Manager of the Tenderer must have professional certification from the International Maritime Organization for managing works for oil pollution occurrences (IMO level 2).
2.5 The Tenderer must be an entity which, among other matters, provides maritime services.
2.6 The Tenderer must possess (either by owning or hiring/leasing or by means of an operational contract with a subcontractor who possesses) a vessels as set out Clause 1.1 of the Technical Specifications.
2.7 The presentation of all certificates, affidavits and approvals in accordance with the Transactions by Public Bodies (Enforcement of Keeping of Accounts) Law, 5736-1976. In the event that the Tenderer which is awarded the Works is a non-Israeli entity, payments to that non-Israeli entity will be made through a local, Israeli, company which will be established by the non-Israeli entity. The local – Israeli – company must present all of the above-mentioned certificates, affidavits and approvals, etc. as a condition precedent to the signing of the Contract with the non-Israeli entity.
2.8 The presentation of an autonomous and unconditional Bid Security (Bid Bond), in the form of a Bank Guarantee, for the payment of all amounts up to 100,000 New Israeli Shekels (NIS) as demanded by the IPC in connection with the tender, with regard to each Tender, and which will be in force until April 30th, 2012. Each Bank guarantee will explicitly specify that it is for -"Tender No. 21/11 for Oil Pollution Services in the Port of Haifa" or for "Tender No. 22/11 for Oil Pollution Services for the Port of Ashdod" as applicable.
A foreign tenderer will have to present the Bank Guarantee(s) from a bank which is rated with the international rating of at least A by S&P, or the equivalent by Moody's or FITCH.
The offer with regard to each Tender must be from a single entity and not from two or more participants.
3. The Contract will be for a period of 3 years with the IPC having the Option to extend the Contract on yearly basis for up to two additional years. The Contract will be on a Retainer basis and will include two components:
• Fixed yearly Services in which the Contractor will be on stand-by and will carry out storing and maintaining of the equipment and for which the Contractor will be paid on a fixed and yearly basis.
• Services in the event of Oil Pollution, for which the Contractor will have to supply all of the required Services and for which the Contractor will be paid in accordance with extent of the work which it has performed as set out in the price list incorporated into the Contract.
4 A Potential Tenderer which is interested in participating in the Tender(s) is required to pay to the IPC, before presenting its Tender(s), a participation fee of the non-refundable sum of 400 New Israeli Shekels ("NIS") including VAT with regard to each Tender. This fee must be paid at the Treasurer's Department of the IPC or must be deposited, with an indication of the name of the Tender, the Tender Number and the name of the Tenderer/Company, in the bank account of the IPC at "Bank Hapoalim" Branch 508, Account no.7518.
5. The Tender Documents, which are in Hebrew, can be purchased as of December 18th, 2011, at the offices of the IPC, Menachem Begin Road 74, Tel Aviv, 12th Floor, Room 1207 (working hours 8.00 to 15.30), for the non-refundable sum of
100 NIS, including VAT, payable as set out in Paragraph 4, for each Tender.
The Tender Documents can be examined and studied, without charge.
6. Questions and requests for clarifications with regard to each of the Tenders should be addressed in writing to Rami Klinger, Director, Environment & Safety at the IPC by email (ramk@israports.co.il ) not later than January 5th, 2012 . The answers to all questions shall be distributed, in writing, to all those who purchased the Tender Documents.
7. The last date and time for submission of offers, in writing, with all the required documentation, in two sealed envelopes, is no later than Wednesday, January 25th, 2012, at 12:00 at the address set out in Paragraph 8 herein.

9. The IPC is not obligated to accept the least expensive Tendered offer or any Tendered offer whatsoever.
10. The IPC retains the right but is not under obligation, in accordance with the exercise of its discretion, to permit a Tenderer who did not submit a document, an approval, a permit, a license, or any other paper (herein, "Required Additional Information") with regard to the conditions of the Tender, including any threshold conditions, except with regard to the Bank Guarantee (Bid Bond) for providing Bid Security, to complete that which was presented to the IPC within a fixed time as set by the IPC, provided in all cases that the Tenderer had or was entitled to receive, at the date set for submission of the Tender, that Required Additional Information.
11. The IPC retains the right but is not under any obligation, and in accordance with the exercise of its discretion, to conduct negotiation(s) with appropriate Tenderer(s).
12. This advertisement does not contain all of the Tender Conditions. The entire and binding Tender Conditions appear in the Tender Documents. Thus, in the event of any discrepancy between this advertisement and the Tender Documents, that which is stated in the Tender Documents shall prevail.
